  1. Amaze Holdings, Inc. (AMZE) | Wineries & Distilleries | $10.80 | $57.0mm

    Management Change: Announced the appointments of its new executive leadership team: Aaron Day as CEO, Keith Johnson as CFO, Gwan Yip as CPO, and Danielle Pederson as SVP of Marketing. Together, they bring a complementary mix of skills and diverse perspectives, positioning the company well for its next chapter as a publicly traded entity. Aaron Day, the newly appointed CEO, brings over two decades of executive leadership experience and a proven track record of scaling businesses across multiple industries. His prior roles include CEO positions at several companies, including Trend, as well as key leadership roles at organizations such as Canva, where he contributed to its growth within the digital design space.

  2. Applied DNA Sciences, Inc. (APDN) | Life Sciences Tools & Services | $5.29 | $2.8mm

    Management Change: Appointed Judy Murrah as Chairperson, Board Director, and CEO, in addition to her current role as President, succeeding Dr. James A. Hayward, who is retiring after a 20-year tenure with the company. Murrah brings over a decade of operational leadership within the company, where she has played a key role in product commercialization, business scaling, and, more recently, the launch of its GMP-compliant DNA manufacturing capabilities. Earlier in her career, she was with Symbol Technologies, where she helped grow the company from an early-stage venture to an enterprise with ~$2bn in revenue and 5,000 employees, holding successive VP roles across Sales, Marketing, and Information Technology, and continued in strategic leadership roles at Motorola following its acquisition of Symbol.

    Merger Agreement: Entered into a definitive agreement to acquire APA Solar, a leading provider of engineered foundation solutions and fixed-tilt mounting systems for solar projects, for ~$179mm, or 7.6x trailing 12-month EBITDA excluding 45X credits. In 2024, APA generated ~$129mm in revenue and $25mm in EBITDA (ex-45X credits). The acquisition is expected to be accretive to adj. EPS in year one, before synergies. Upon closing, anticipated in 3Q25, the company will begin offering a domestically manufactured, integrated product offering by combining its advanced solar tracking technology with APA’s innovative foundation solutions.

  4. Mobile Infrastructure Corporation (BEEP) | Infrastructure Operations | $4.03 | $171.3mm

    Management Change: Appointed President and former CFO Stephanie Hogue as CEO, effective August, succeeding Manuel Chavez III, who has served as CEO since 2021. Hogue brings over 20 years of leadership experience across capital markets, real assets, and strategic advisory, having served as a Managing Director at PwC Corporate Finance following earlier roles at Deloitte in its Financial Advisory and Strategic Initiatives teams. The leadership transition reflects the company’s ongoing focus on execution, including its multi-year portfolio optimization plan announced in March. The company intends to divest up to $100mm of non-core assets and reinvest the proceeds into high-performing, strategic real estate with multiple demand drivers and stronger net operating income potential.

  5. BGSF, Inc. (BGSF) | Staffing & Employment Services | $5.75 | $63.9mm

    Divestiture: Signed a definitive agreement to sell its Professional Division to INSPYR Solutions for $99mm in an all-cash transaction, expected to close in 2H25. Following the departure of CEO Beth Garvey, Kelly Brown, President of the Property Management Division, and CFO Keith Schroeder will serve as interim co-CEOs, focusing on scaling the Property Management business and optimizing the company’s cost structure. The company plans to use the net proceeds to significantly reduce its outstanding debt and to pursue strategic investments within its core Property Management operations, while continuing to evaluate strategic alternatives to maximize shareholder value.

  6. BIO-key International, Inc. (BKYI) | Systems Software | $0.81 | $4.7mm

    New Order: Announced that the cyber-defense unit of one of the world’s most renowned defense ministries has placed over $600k in new orders for its biometric user authentication solution. The order includes additional biometric hardware and authentication software, scheduled for delivery this quarter. The company expects further awards in future periods as adoption expands within the ministry and interest continues growing across high-stakes applications in the defense vertical.
